DISTANCE SALES AGREEMENT

1. PARTIES AND SUBJECT OF THE AGREEMENT
This Distance Sales Agreement (“Agreement”) has been established electronically between MAS LALE SAN. TİC. LTD. ŞTİ. (“SELLER”), operating under the brand name SALEM&CO., and the natural or legal person (“BUYER” or “CONSUMER”) who purchases products via the website www.salemandcoofficial.com.
The purpose of this Agreement is to regulate the rights and obligations of the parties regarding the sale and delivery of the products ordered by the BUYER electronically via the SELLER’s website www.salemandcoofficial.com, within the framework of the relevant applicable legislation, primarily the Law No. 6502 on the Protection of the Consumer and the Regulation on Distance Contracts.
The BUYER acknowledges that confirming the order creates an obligation to pay; and is liable to pay the product price, delivery fee, and other charges explicitly notified before the order, if any.

3. BUYER INFORMATION
Information regarding the BUYER consists of;
- name and surname or trade name,
- delivery address,
- billing address,
- phone number,
- e-mail address
provided by the BUYER via www.salemandcoofficial.com during the order.
The BUYER is responsible for the accuracy and completeness of the information provided during the order.
4. PRELIMINARY INFORMATION
The BUYER acknowledges that, before completing the order, they were informed clearly and understandably about the following regarding the product or products purchased:
- Basic characteristics, material, dimensions, color, quantity, and personalization features, if any,
- SELLER’s trade name and contact information,
- Total sales price including taxes,
- Delivery, shipping, and other additional costs, if any,
- Payment method,
- Order preparation and estimated delivery time,
- Delivery method,
- Whether the right of withdrawal is available or not,
- Conditions, duration, and method for exercising the right of withdrawal,
- Situations where the right of withdrawal cannot be exercised,
- Return method and the carrier provided for returns where applicable,
- Methods for resolution of complaints and disputes.
Product, price, discount, tax, shipping, and total order amount information shown on the payment page before the order is completed are an integral part of this Agreement.
5. ORDER SUBJECT PRODUCT AND PAYMENT INFORMATION
Regarding the product or products purchased by the BUYER;
Product name and basic characteristics: Specified on the order and payment screen.
Quantity: Specified on the order screen.
Product price: Specified on the order screen.
Taxes: Specified on the order screen where applicable.
Shipping fee: Shown during payment.
Discounts: Shown during payment, if any.
Total order amount: Shown before the payment is completed.
Payment method: Selected by the BUYER during payment.
Order date: Specified in the order record created by the system.
Order number: Automatically generated by the system.
With the electronic confirmation of the order by the BUYER, the obligation to pay the product price and other previously notified charges, if any, arises.
6. PAYMENT
Payment is carried out using one of the payment methods offered on the payment page of the www.salemandcoofficial.com website.
Payment and card information may be processed by the authorized payment service provider used during the order.
The SELLER does not store the full number or security code of the payment card directly.
In case the payment transaction is not approved by the bank, card institution, or payment service provider, there is no obligation to process the order.
7. PREPARATION AND DELIVERY OF THE ORDER
Orders begin to be prepared after the payment is successfully approved.
Preparation time may vary depending on:
- product stock status,
- personalization or engraving processes,
- made-to-order production,
- order volume, and
- public holidays.
Additional production time may be required for personalized, engraved, custom-prepared, or made-to-order products.
The SELLER’s standard estimated shipping delivery time is generally 5–7 business days after the product is handed over to the carrier. A different estimated delivery time depending on the product, destination country, or chosen shipping service may be specified during payment or on the relevant product page.
Stated delivery times are estimates, and mandatory delivery obligations arising from applicable legislation are reserved.
Except for contracts regarding products prepared in line with the consumer’s requests or personal needs, the delivery time for sales of goods to consumers in Turkey shall not exceed 30 days from the date the order reaches the SELLER, where foreseen by the legislation.
In the event that the delivery of the product subject to the order becomes impossible, the SELLER shall notify the BUYER within the period stipulated in the legislation from the date of becoming aware of the situation and refund the payments collected in the manner stipulated by the legislation.
The mere fact that the product is out of stock does not in itself mean that performance has become impossible.
8. DELIVERY AND RISK OF DAMAGE
The product is shipped to the delivery address notified by the BUYER during the order.
The SELLER is responsible for any loss and damage that may occur until the product is delivered to the BUYER or a third party specified by the BUYER, within the scope of the applicable legislation.
However, if the BUYER requests to use a carrier of their own choice other than the shipping options offered by the SELLER, the responsibility regarding loss or damage that may occur after the product is delivered to the relevant carrier shall be evaluated according to the applicable legislation.
The BUYER is obliged to ensure that the delivery information is complete and accurate when placing an order.
9. RIGHT OF WITHDRAWAL
For products where the right of withdrawal is legally available, the BUYER has the right to withdraw from the contract within 14 days from the date they or a third party designated by the BUYER receives the product, without giving any reason and without paying any penalty.
The BUYER may also exercise the right of withdrawal before the product is delivered.
To exercise the right of withdrawal, it is sufficient to send a clear notice of withdrawal to the SELLER before the 14-day period expires.

The BUYER may use the sample withdrawal form below; however, the use of this form is not mandatory.
10. RETURN PROCESS
The BUYER must return the product to the SELLER or the authorized person specified by the SELLER within 14 days from the date of notifying the SELLER of the exercise of the right of withdrawal; cases where the SELLER has indicated they will collect the product themselves are reserved.
It is recommended that the BUYER contact the SELLER at:

before making a return to obtain the correct return address and applicable shipping instructions.
The product should be sent, as much as possible, with its:
- original packaging,
- box,
- accessories sent with the product, and
- other parts belonging to the product.
Applicable consumer legislation shall apply regarding changes resulting from the consumer’s reasonable examination of the product to determine its nature, characteristics, and operation within the withdrawal period.
In case of a decrease in value resulting from the consumer’s use exceeding the limits of ordinary examination, the responsibility shall be determined according to the applicable legislation.
11. RETURN SHIPPING COSTS
In case of exercising the right of withdrawal, return costs shall be determined according to the provisions of the applicable Regulation on Distance Contracts.
If the product is returned via the carrier specified by the SELLER in the preliminary information, the consumer shall not be held responsible for the return shipping costs.
If no carrier is specified for returns in the preliminary information, no return costs shall be requested from the consumer.
If the return carrier specified by the SELLER does not provide service in the consumer’s location, the SELLER shall ensure that the product is collected from the consumer in accordance with the applicable legislation.
Return costs for defective or incorrectly sent products cannot be charged to the consumer.
Returns are not accepted for personalized or custom-made orders.
12. REFUNDS
In case the right of withdrawal is validly exercised, the refund shall be carried out within the period foreseen in the applicable legislation.
If the product has been delivered to the return carrier specified by the SELLER in the preliminary information, the refund period begins from the date the product reaches the seller.
If the BUYER sends the product with a carrier other than the one specified by the SELLER, the refund period may begin from the date the product reaches the SELLER.
If the right of withdrawal is exercised before the product is even delivered, the refund period begins from the date the withdrawal notice reaches the SELLER.
The time it takes for banks or payment institutions to reflect the refund to the BUYER’s account is beyond the SELLER’s direct control.
13. SITUATIONS WHERE THE RIGHT OF WITHDRAWAL CANNOT BE EXERCISED
Under applicable legislation and unless otherwise agreed by the parties, the right of withdrawal cannot be exercised, especially in the following cases:
13.1. Personalized or Custom-Made Products
The right of withdrawal may not be available for products prepared in line with the BUYER’s special requests or personal needs.
Examples include:
- special name or letter engraving,
- personalized text or dates,
- production according to special measurements,
- products produced according to photos, drawings, handwriting, tattoos, or designs sent by the customer,
- products specifically produced according to customer request in a way that differs from standard product features.
Legal consumer rights are evaluated separately according to the nature of the personalization or custom production on the product.
13.2. Products Subject to Financial Market Fluctuations
In contracts regarding goods whose price depends on fluctuations in financial markets and which are beyond the SELLER’s control, the right of withdrawal may not be exercised if the conditions specified in the legislation are met.
13.3. Products Unsuitable for Return Due to Hygiene
The right of withdrawal cannot be exercised for products whose packaging, tape, seal, or similar protective elements have been opened after delivery and which are unsuitable for return in terms of health or hygiene, provided that the conditions specified in the legislation are met.
For products such as earrings, this exception applies only if the hygiene conditions foreseen in the applicable legislation are met.
Exceptions to the right of withdrawal do not negate the consumer’s legal rights regarding defective goods.
14. DAMAGED, DEFECTIVE, OR INCORRECT PRODUCTS
In the event that the BUYER receives a product that is:
- damaged,
- defective,
- different from what was ordered, or
- incomplete,
it is recommended that they contact the SELLER at customercare@salemandcoofficial.com as soon as possible so that the issue can be assessed.
The SELLER may request photos of the product and packaging, along with the order number, for inspection purposes.
This notification procedure does not limit the consumer’s mandatory rights regarding defective goods under Law No. 6502 and other applicable legislation.
15. FORCE MAJEURE
In the event that natural disasters, war, social unrest, epidemics, strikes, transportation or logistics disruptions, decisions of public authorities, customs procedures, or similar unforeseeable events beyond the reasonable control of the parties prevent or delay the performance of the contract, the rights and obligations of the parties shall be evaluated within the framework of applicable legislation.
Force majeure provisions do not override the consumer’s mandatory legal rights.
16. PERSONAL DATA
ALICI’nın sipariş kapsamında sağladığı kişisel veriler, siparişin alınması, ödeme işlemleri, üretim, kişiselleştirme, teslimat, müşteri hizmetleri, iade ve yasal yükümlülüklerin yerine getirilmesi amacıyla SALEM&CO. Gizlilik Politikası ve KVKK Aydınlatma Metni kapsamında işlenir.

17. ŞİKÂYETLER VE UYUŞMAZLIKLAR
ALICI, sipariş veya işbu Sözleşme ile ilgili her türlü soru, talep veya şikâyetini aşağıdaki iletişim kanalı üzerinden SATICI’ya iletebilir:

Türkiye'deki tüketiciler bakımından, işbu Sözleşme'den kaynaklanan uyuşmazlıklarda, uyuşmazlık değerine göre yürürlükteki mevzuatta belirlenen parasal sınırlar dâhilinde Tüketici Hakem Heyetlerine, ilgili şartların oluşması hâlinde ise Tüketici Mahkemelerine başvurulabilir.
Tüketici Hakem Heyetlerine ilişkin parasal sınırlar her yıl güncellendiğinden, başvuru tarihinde yürürlükte bulunan sınırlar esas alınır.
Tüketicinin yerleşim yerinde veya tüketici işleminin yapıldığı yerde bulunan yetkili mercilere başvurma hakkı saklıdır.
18. ELEKTRONİK KAYITLAR
Siparişe ilişkin elektronik kayıtlar; sipariş onayı, ödeme kayıtları, ürün bilgileri, teslimat kayıtları ve taraflar arasındaki elektronik yazışmalar ilgili mevzuat kapsamında delil olarak kullanılabilir.
Bu hüküm tüketicinin kanundan doğan ispat haklarını veya diğer yasal haklarını sınırlandırmaz.
19. SÖZLEŞMENİN YÜRÜRLÜĞE GİRMESİ
ALICI, siparişini tamamlamadan önce işbu Sözleşme'yi ve kendisine sunulan ön bilgilendirmeyi okuyup inceleme imkânına sahip olduğunu kabul eder.
ALICI’nın siparişin ödeme yükümlülüğü doğurduğu açıkça belirtilen ödeme veya sipariş onay işlemini tamamlamasıyla işbu Sözleşme elektronik ortamda kurulmuş ve yürürlüğe girmiş olur.
Sipariş onayı ve işbu Sözleşme'nin elektronik nüshası, uygulanabilir mevzuatın gerektirdiği şekilde saklanabilir ve ALICI’nın erişimine sunulabilir.
